1. Agreement to Terms

By accessing or using Birge Consulting's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

Birge Consulting provides IT consulting services including but not limited to:

  • Digital transformation consulting
  • Custom software development
  • IT infrastructure management
  • Data analytics and engineering
  • Technical support and maintenance

3. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Provide timely feedback and approvals
  • Grant necessary access to systems and resources
  • Maintain confidentiality of any credentials provided
  • Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Standard terms include:

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges
  • Services may be suspended for overdue accounts
  • All fees are non-refundable unless otherwise specified

5. Intellectual Property

Unless otherwise agreed in writing:

  • Client retains ownership of their existing intellectual property
  • Custom work created for the client becomes client property upon full payment
  • Birge Consulting retains rights to general methodologies and non-client-specific knowledge
  • Open source components remain subject to their respective licenses

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This obligation survives the termination of services.

7. Limitation of Liability

To the maximum extent permitted by law, Birge Consulting's liability for any claim arising from our services shall not exceed the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Service Level Agreement

Specific service levels, uptime guarantees, and response times will be defined in individual service agreements. Our standard target is 99.9% uptime for managed services with response times within 1 business day.

9. Termination

Either party may terminate services with 30 days written notice. Immediate termination may occur for breach of terms. Upon termination, client data will be returned or destroyed as requested.

10. Warranty Disclaimer

Services are provided "as is" without warranty of any kind, except as explicitly stated in service agreements. We do not guarantee uninterrupted or error-free services.

11. Indemnification

You agree to indemnify and hold Birge Consulting harmless from any claims arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Governing Law

These terms are governed by the laws of the jurisdiction in which Birge Consulting operates, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
